1. Acceptance of These Terms

These Terms and Conditions (the “Terms”) govern your access to and use of the website located at tangabula.com (the “Site”) and any purchase you make from Tangabula LLC (“Tangabula,” “we,” “us,” or “our”), a limited liability company organized under the laws of the State of Minnesota. By visiting the Site, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy, each of which is available on the Site and incorporated here by reference. If you do not agree with these Terms, please do not use the Site or purchase from us.

We may update these Terms from time to time as described in Section 18. The version in effect at the time you place an order governs that purchase. Your continued use of the Site after we post changes means you accept the updated Terms.

2. Who May Use the Site

You must be at least 18 years old, or the age of majority in the state where you live, to create an account or make a purchase. By using the Site, you represent that you meet this requirement and that the information you provide to us is accurate and complete. A parent or legal guardian may purchase on behalf of a minor, but the account and the responsibility for that purchase remain with the adult. We may refuse access to, suspend, or close any account that we reasonably believe does not meet these requirements.

3. Your Account and Responsibilities

You may browse much of the Site without an account, but certain features, including saved details and order history, require you to register. When you create an account, you agree to provide accurate information and to keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not you authorized it. Please notify us promptly at support@tangabula.com if you believe your account has been accessed without your permission. We are not liable for any loss arising from unauthorized use of your account that results from your failure to keep your credentials secure.

4. The Site, Our Products, and Availability

Tangabula offers contemporary African fashion and accessories, including boubous, kaftans, kimonos, matching sets, and tailored separates, alongside accessories such as jewelry. We strive to describe and display our products as accurately as possible, but we do not warrant that product descriptions, photographs, colors, measurements, pricing, or other content on the Site are complete, current, or error-free. Because many of our pieces are handcrafted or hand-finished and are made using traditional and contemporary African textiles and other carefully selected fabrics, slight variations in color, weave, print placement, texture, and finish are natural characteristics of each piece and are not considered defects. Colors may also appear differently depending on your screen, device, and display settings.

All products are offered subject to availability. We may change, limit, or discontinue any product at any time, and we may limit the quantity of any item that may be purchased in a single order or by a single customer or household. We reserve the right to correct any error, inaccuracy, or omission, and to change or update information on the Site, at any time and without prior notice, including after you have submitted an order.

5. Pricing, Payment, and Transaction Security

All prices are listed in U.S. dollars and do not include applicable sales tax or shipping charges, which are calculated at checkout based on your location and order. We accept the payment methods shown at checkout, which currently include major credit and debit cards (Visa, Mastercard, American Express, and Discover), Apple Pay, Google Pay, and PayPal. By submitting an order, you authorize us and our payment processor to charge your selected payment method for the total order amount, including tax and shipping.

You are responsible for providing accurate, complete, and current payment and billing information, and you represent that you are authorized to use the payment method you select. If a payment cannot be processed, is declined, or is later reversed, we may cancel or suspend the related order and may require an alternative form of payment before shipping. We may also place a temporary authorization hold on your payment method to verify funds before completing an order.

Payments are handled by third-party payment processors that are contractually required to maintain compliance with the Payment Card Industry Data Security Standard (PCI DSS). Your full payment card number is transmitted directly to and handled by these processors; Tangabula does not collect or store full payment card numbers on its own systems, and we retain only limited transaction records, such as the payment method used, the last four digits of a card, and the amount, for order management, accounting, and fraud-prevention purposes. Your use of a given payment method may also be subject to the separate terms and privacy practices of that payment provider.

6. Orders, Acceptance, and Cancellation

Your submission of an order is an offer to purchase. All orders are subject to our acceptance, and a confirmation email acknowledging receipt of your order does not by itself constitute acceptance. We reserve the right to refuse, limit, or cancel any order for any lawful reason, including suspected fraud, pricing or product errors, payment problems, or an ordered quantity that exceeds our stated limits. If we cancel an order after your payment method has been charged, we will issue a refund of the amount charged for the cancelled items to the original payment method.

7. Shipping, Returns, and Exchanges

Shipping timelines, processing times, tracking, and our returns and exchanges practices are described in our Shipping & Delivery Policy, available on the Site and incorporated into these Terms by reference. In summary, and subject to the full policy, most sales are final; where a return is approved, eligible items may receive store credit or an exchange for the same item in another size, subject to availability, rather than a refund to the original payment method, except where a refund is required by applicable law or where an item arrives damaged, defective, or incorrect. Please review that policy in full before placing an order, as it governs the specifics of shipping, returns, and exchanges wherever it provides more detail than these Terms.

8. Intellectual Property

The Site and all of its content, including the Tangabula name, logo, brand story, product photography, illustrations, graphics, product and collection descriptions, page copy, layouts, and the overall look and feel, are owned by Tangabula or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Site for your own personal, non-commercial purposes, such as browsing and placing orders.

You may not copy, reproduce, republish, distribute, modify, translate, or create derivative works from any part of the Site, and you may not use our product images, descriptions, brand assets, or other content for commercial purposes, including for resale listings or in connection with any other business, without our prior written permission. Nothing in these Terms transfers any ownership right in our intellectual property to you. All rights not expressly granted are reserved.

9. Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You may not, and may not permit any third party to, use the Site or our products in any of the following ways: purchasing our products for unauthorized commercial resale or misrepresenting yourself as an authorized Tangabula seller; using any automated means, such as bots, scrapers, crawlers, or data-mining tools, to access, collect, or copy content, product data, or pricing from the Site; attempting to gain unauthorized access to the Site, other users’ accounts, or our systems or networks; interfering with or disrupting the Site, including by introducing malware, viruses, or harmful code, or by placing an unreasonable load on our infrastructure; submitting false, fraudulent, or deceptive information, including fraudulent payment details or chargebacks made in bad faith; infringing our intellectual property or the rights of others; or engaging in any harassing, abusive, threatening, defamatory, or otherwise harmful conduct toward our staff, service providers, or other customers. We may investigate suspected violations and take any action we consider appropriate, including removing content, cancelling orders, suspending or terminating accounts, and reporting activity to law enforcement.

10. Customer Content and Communications

If you submit reviews, photographs, comments, or other content to us or through the Site, or tag us on social media in connection with our products, you retain ownership of your content, but you grant Tangabula a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and share that content in connection with our business and marketing, with attribution where practical. You are responsible for the content you submit and represent that you have the right to share it and that it does not violate the rights of any third party or any applicable law. We may, but are not obligated to, review, edit, or remove customer content at our discretion.

11. Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources, including social media platforms, payment providers, and shipping carriers, that we do not own or control. We provide these links and integrations for your convenience and are not responsible for the content, policies, or practices of any third party. Your dealings with third parties, and your use of their services, are governed by their own terms and privacy policies, and any such dealings are solely between you and that third party.

12. Privacy and Data Protection

Your privacy matters to us. Our collection and use of your personal information is described in our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Site, you consent to the practices described in those policies. We maintain reasonable administrative, technical, and physical safeguards designed to protect personal information handled in connection with your account and your transactions, and we require our payment processors to maintain PCI DSS compliance as described in Section 5. No method of transmission or storage is completely secure, however, and we cannot guarantee absolute security.

We handle personal information in a manner intended to meet our obligations under the California Consumer Privacy Act, as amended (the “CCPA”), and applicable United States privacy laws, and, to the extent it applies to visitors located in the European Economic Area or the United Kingdom, the General Data Protection Regulation (“GDPR”). Details of the rights available to you, including rights of access, deletion, correction, and opting out of the sale or sharing of personal information, and how to exercise them, are set out in the Privacy Policy. In the unlikely event of a data security incident affecting your personal information, we will respond and provide any notifications required by applicable law.

13. Disclaimers

The Site and our products are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Tangabula disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of harmful components. We do not guarantee the accuracy or completeness of product descriptions, imagery, pricing, or other content, and, as noted in Section 4, natural variation in hand-finished pieces and woven or printed textiles is expected and is not a defect. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

14. Limitation of Liability

To the fullest extent permitted by law, Tangabula and its owners, employees, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Site or your purchase or use of our products, whether based in contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. This includes, without limitation, damages arising from errors in product descriptions or pricing, interruptions or unavailability of the Site, delays or failures by payment processors or shipping carriers, and disputes concerning payment, chargebacks, or delivery. Our total liability to you for all claims arising out of or relating to these Terms, the Site, or any product will not exceed the greater of the amount you paid to Tangabula for the product or order giving rise to the claim, or fifty U.S. dollars (US $50). Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you, and nothing in these Terms limits liability that cannot be limited under applicable law.

15. Indemnification

You agree to indemnify and hold harmless Tangabula and its owners, employees, and service providers from and against any claims, damages, losses, liabilities, and reasonable expenses, including attorneys’ fees, arising out of or related to your misuse of the Site, your violation of these Terms, your violation of any applicable law, or your infringement of the rights of any third party.

16. Termination

You may stop using the Site and close your account at any time by contacting us. We may suspend or terminate your access to the Site or your account, cancel pending orders, and refuse future orders, with or without notice, if you violate these Terms, if your payment fails or is reversed, if we suspect fraud or unlawful activity, or if we reasonably believe doing so is necessary to protect Tangabula, our customers, or others. Provisions that by their nature should survive termination, including those relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will continue to apply after your account or access ends.

17. Dispute Resolution and Arbitration

We want to resolve any concern quickly and fairly. Before starting any formal proceeding, you agree to first contact us at support@tangabula.com and give us thirty (30) days to resolve the matter informally. Most issues can be settled this way.

If we cannot resolve a dispute informally, you and Tangabula agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product or transaction will be resolved by binding individual arbitration, rather than in court, except as stated below. The arbitration will be administered by a recognized arbitration provider under its consumer arbitration rules, and it will take place in the State of Minnesota or, at your election, in your home county within the United States, or by phone or video where the provider allows. Judgment on the award may be entered in any court with jurisdiction.

You and Tangabula agree that each may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person’s claims or preside over any form of class proceeding. As exceptions to arbitration, either party may bring an individual claim in a small-claims court that has jurisdiction, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or to stop unauthorized access to or misuse of the Site. If the class-action waiver in this section is found unenforceable as to a particular claim, that claim, and only that claim, will be severed and may proceed in court, while all other claims remain in arbitration.

18. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Minnesota and applicable United States federal law, without regard to conflict-of-law principles. To the extent any dispute is not subject to arbitration under Section 17 and proceeds in court, you and Tangabula agree to the exclusive jurisdiction and venue of the state and federal courts located in the State of Minnesota, and you consent to personal jurisdiction there, except where applicable law gives you the right to bring a claim in the courts of your home state or country.

19. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our practices, our products, or applicable law. When we make changes, we will update the “Effective Date” at the top of this document and post the revised Terms on the Site. If we make a material change, we will provide a more prominent notice where required by law, such as a banner on the Site or an email to registered account holders. The Terms in effect at the time you place an order govern that order, and your continued use of the Site after changes take effect means you accept the revised Terms.

20. General Provisions

These Terms, together with the Privacy Policy, the Cookie Policy, the Return, Refund, and Exchange Policy, and the Shipping and Delivery Policy make up the entire agreement between you and Tangabula regarding your use of the Site and supersede any prior agreements on that subject. If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer these Terms without our written consent, and we may assign these Terms in connection with a merger, acquisition, or sale of our assets. We are not responsible for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, labor disputes, carrier delays, or interruptions of payment, hosting, or telecommunications services. The section headings in these Terms are for convenience only and do not affect their interpretation.
